By accessing or using Stocksicle ("the Service," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these terms, you must immediately discontinue use of the Service.

We reserve the right to modify these Terms and Conditions at any time without prior notice. Your continued use of the Service after any changes constitutes acceptance of the modified terms. It is your responsibility to review these terms periodically.

a. Personal Journaling Tool

Stocksicle is a personal journaling and record-keeping tool for tracking your own trading activity. You can enter trades yourself or, on Pro, import selected trades and dividends from a connected brokerage. The Service is for personal reference only.

b. Not Financial Advice

STOCKSICLE DOES NOT PROVIDE FINANCIAL ADVICE. We are not registered investment advisors, broker-dealers, financial planners, or tax professionals. Any information, data, calculations, or content displayed on the Service:

• Is for informational and personal record-keeping purposes only
• Should not be construed as investment advice or recommendations
• Does not constitute an offer or solicitation to buy or sell any securities
• Should not be relied upon for making financial decisions
• Does not replace professional financial, legal, or tax advice

c. Educational Content

Any educational materials, strategy guides, or informational content provided on the Service represents general information and personal opinions only. This content is not tailored to your individual financial situation and should not be considered personalized advice.

d. Broker Connections and Import

Pro subscribers may connect a brokerage through SnapTrade, a third-party provider. Connections are read-only. We do not execute, recommend, or place trades in your brokerage account. Import is something you start: you choose a date range and which trades or dividends to bring in. Sync can add currently open lots that are not already in your Stocksicle account. Broker coverage, data completeness, and refresh timing depend on SnapTrade and the brokerage. Imported records can be delayed, incomplete, or mapped incorrectly. You are responsible for reviewing imported data before relying on it.

a. Account Creation

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the confidentiality of your login credentials
• Accept full responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

b. User Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data in your account, including trades you enter and trades or dividends you import. We do not verify, validate, or guarantee the accuracy of user-submitted or imported data.

c. Age Requirement

You must be at least 18 years of age to use the Service. By using Stocksicle, you represent and warrant that you meet this age requirement.

By using this Service, you acknowledge and agree that:

• All investment decisions are made solely by you at your own risk
• Stocksicle has no involvement in your actual trading or investment activities
• We do not execute, recommend, or facilitate any trades on your behalf, including through a connected brokerage
• You should consult with qualified financial professionals before making investment decisions
• Options trading involves additional risks including the possibility of losing more than your initial investment

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of any information
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the results obtained from using the Service
• Warranties that any errors or defects will be corrected

Any calculations, metrics, or analysis displayed by the Service are for informational purposes only and may contain errors. You are responsible for independently verifying all information before making any decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOCKSICLE AND ITS OWNERS, OPERATORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenues, data, goodwill, or other intangible losses
• Any investment losses, trading losses, or financial damages of any kind
• Damages arising from your use of or inability to use the Service
• Damages arising from any errors, inaccuracies, or omissions in the Service
• Damages arising from unauthorized access to or alteration of your data
• Damages arising from any third-party content or websites linked to the Service

In no event shall our total liability exceed the amount you paid to us, if any, for accessing the Service during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Stocksicle and its owners, operators, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms and Conditions
• Your violation of any applicable laws or regulations
• Any content or data you submit to the Service
• Your investment or trading activities

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of Stocksicle and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Service without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

Stocksicle offers a free plan and an optional paid Pro plan. Prices and included features are described on the Pricing page and may change. Pro billing is processed by Stripe. You can update payment details or cancel through the Stripe customer portal from your account. If you cancel, Pro access continues through the end of the current billing period, then the account returns to Free-plan limits. Broker connections are a Pro feature and are removed when Pro access ends.

The Service relies on third parties, including SnapTrade (broker connections), Stripe (payments), and Google (optional sign-in and analytics). Your use of those services may also be governed by their terms. We are not responsible for third-party outages, brokerage portal issues, or data those providers supply.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including disclaimers, limitations of liability, and indemnification provisions.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Stocksicle.

If any provision of these Terms and Conditions is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Stocksicle regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
